Sitawi's new operating model

Under the cloak of Finanças do Bem, the Sitawi operates in diverse 'markets', ranging from philanthropy to second opinions on ESG-approached securities. And all these markets have grown exponentially in recent years.

THE Sitawi not only participated in the growth of these ecosystems, but also played a leading role in their evolution, having adapted its way of operating and its offers at every moment. As a result, it has been possible to better meet society's demands to align the flow of capital to the construction of an increasingly sustainable and fair society.

Almost 9 years ago, the Sitawi operates under a single brand and two legal entities - one non-profit (OSCIP with the corporate name Sitawi, CNPJ 09.607.915/0001-34), which develops the Social Finance Program, and another for-profit organization (corporate name Koan Finanças Sustentáveis Ltda, CNPJ 09.212.050/0001-07), which develops the Sustainable Finance Program. Both share physical and digital infrastructure and institutional policies, and offer complementary value propositions to partners and clients. As part of this agreement, LTDA also donates 10% of its net revenue to the OSCIP. There is no participation of partners or directors of one organization in the other. Support areas are unified in the OSCIP, providing shared services. This operational model has always been described transparently in the site and annual reports of Sitawi.

In addition to the accelerated growth in the last years of each Program, both have ambitious growth plans, such as mobilizing R$1 billion in Social Finance, and tripling the team and expanding to all Latin America in Sustainable Finance, until 2025.

To continue meeting the demands more and more effectively, a new operating and governance model will be implemented in 2022. Each Program will have its own brand – Sitawi will continue to represent the Social Finance Program, while the Sustainable Finance Program will operate under the brand NINT – Natural Intelligence. Physical and digital infrastructure will no longer be shared, but the two organizations will continue to offer complementary value propositions to partners. There will be no 'automatic' contribution of 10% from net revenue, but collaborations – especially on 'public benefit' projects – are expected to continue to occur over time. Each Program will have its own support areas and institutional policies.

The transition - facilitated by the adoption of best practices in the relationship between organizations since 2013 - will take place during 2022 and will be conducted responsibly with all audiences, and for external partners who had contact with only one of the Programs – the vast majority – day-to-day activities will continue without significant changes.

The two organizations will maintain the shared vision of 'a world where capital is cheaper, more abundant and patient for organizations that promote positive social and environmental impact'. This movement will also allow the design of strategies and policies better adapted to the ambitions of each Program and to the different markets, with benefits of internal and external communication and growth opportunities for employees.

We believe that this new configuration better serves the set of internal and external partners in our journey towards a more sustainable and fairer world.
